1.1. These general terms and conditions apply to the offers and services provided by Factura (hereinafter "we", "Factura", "the provider", "the application", "the service").
1.2. Factura is developed and operated by "Barrionuevo Peral", registered in the commercial register of the Canton of Vaud: IDE CHE-383.151.715.
1.3. By creating an account or using the application, the customer (hereinafter "the customer", "the user") confirms having read, understood, and unreservedly accepts these general terms and conditions.
2.1. Factura enables freelancers, self-employed professionals, and small businesses to manage their activities, create invoices and quotes, track payments and expenses, and generate activity reports.
2.2. The application requires a paid subscription. Current prices are published on the Factura website.
2.3. Factura reserves the right to offer a free trial period, after which the user may choose to subscribe. If the user does not provide payment information, they will not be charged at the end of the trial period. Otherwise, the selected subscription will be automatically billed at the end of the trial period.
2.4. Factura retains all rights relating to the software, brand, and services offered. The user obtains a right of use within the meaning of these general terms and conditions when subscribing to a paid offer.
2.5. Detailed information about services, products, and prices is available on the Factura website.
2.6. Certain services are provided in collaboration with third parties. These services are governed by the applicable general terms and conditions of said third parties. Main third-party services include, but are not limited to:
3.1. To use the application, the user must create a user account. Account creation allows the user to authenticate.
3.2. During registration, the user is required to provide complete and truthful information and to keep it up to date, as well as to immediately correct any errors. By registering, the user confirms having legal capacity to act, or being authorized to act on behalf of a third party, where applicable with the consent of the legal representative.
3.3. Factura reserves the right to refuse registration without having to provide a reason.
3.4. Creating multiple trial accounts with different email addresses is prohibited. Factura reserves the right to suspend or delete additional trial accounts at any time without notice.
4.1. Online documentation is made available to users on the Factura website.
4.2. For questions requiring assistance, users may contact Factura by email. Factura does not guarantee any response time.
5.1. The contract is concluded at the moment the customer places an order on the Factura website.
5.2. The contract term begins from the customer's order, as per section 5.1.
5.3. The contract is concluded for the duration selected at the time of order. Subsequently, unless terminated, it is extended for an identical period of use.
5.4. When the contract is concluded for a monthly period, it may be terminated at the end of any month.
5.5. An annual contract may be terminated at the end of the contract year.
5.6. Termination is done within the Factura application or by email to [email protected]
6.1. Service prices are indicated on the Factura website.
6.2. Fees are due at the beginning of the billing period.
6.3. Factura is entitled to adjust the prices of its services, provided it informs the user for the next possible termination date. Reasons for such modification include, in particular, technical improvements, development of additional services, or increased operating costs.
6.4. All prices are expressed in CHF, excluding VAT.
6.5. In case of late payment, access to the application is automatically suspended. The user can regularize their situation by paying the outstanding amount. They then regain access to the application and their data.
6.6. In case of non-payment, the contract is automatically terminated after a payment delay of more than 60 days.
7.1. Issues related to data protection and its use are addressed in our data protection policy, in accordance with the Swiss Data Protection Act (nDPA).
7.2. For users residing in the European Union, we also comply with the General Data Protection Regulation (GDPR). Our privacy policy details the specific rights granted by the GDPR.
8.1. The user confirms that they have the required rights for all data they enter into the application. Using the application to store illegal, racist, pornographic, or offensive content is strictly prohibited.
8.2. The user undertakes to provide accurate information about themselves at all times and to update it by informing Factura of any changes immediately.
8.3. In case of unlawful or contract-breaching behavior, Factura may require the user to comply, suspend access to its services without notice, or terminate the contract with immediate effect.
8.4. In case of abusive use of services, particularly in case of suspected punishable acts, data may be analyzed to clarify the facts, and upon justified request, transmitted to the competent authorities.
8.5. If the user notices or suspects unlawful use of their account, they must inform Factura immediately.
8.6. Using Factura services requires a continuous Internet connection. The customer is solely responsible for the proper functioning of their Internet connection.
8.7. The customer is required to make regular and complete backups of their data. Factura cannot be held responsible for data loss.
8.8. The user is solely responsible for the accuracy of information provided for generating QR invoices. Factura cannot be held responsible for consequences resulting from incorrect or incomplete data.
9.1. Factura strives to ensure the availability of its services. However, it is unable to guarantee uninterrupted and undisturbed operation of its infrastructure and services. Factura's liability is excluded in case of damage due to force majeure or disruptions occurring particularly due to lack of Internet connection.
9.2. No warranty is given regarding availability, quality, operation, or support for the services provided. Factura's liability is expressly excluded for indirect damages, such as loss of earnings or third-party claims.
9.3. The accuracy of generated documents (PDF, etc.) depends on the data provided by the user. Factura assumes no responsibility for the accuracy of the content of final documents.
9.4. The user is solely responsible for access to their account. The user is required to treat their access data confidentially and not make it accessible to third parties.
10.1. The scope of services, their functionalities, and their overall configuration may be adapted at any time. The user is informed in advance of major changes by the following means:
10.2. Factura is entitled to modify these general terms and conditions at any time. Changes are communicated to existing users at least 30 days in advance. Major changes affecting users' fundamental rights require explicit acceptance. If the user contests the changes, they may terminate their contract at any time for the next termination date.
11.1. If any provision of these general terms and conditions proves to be null, incomplete, or unenforceable, the validity of the other provisions is not affected. Where applicable, the parties undertake to immediately replace the affected provision with a valid provision whose content comes as close as possible to the original intentions.
12.1. In case of dispute with this contract and failing an amicable solution, the legal jurisdiction is in Nyon - Switzerland. This contract is exclusively governed by Swiss law.
12.2. These General Terms and Conditions are originally drafted in French. This English translation is provided for convenience only. In the event of any discrepancy between the French text and this English translation, the French text shall prevail.
